Dr. Rajan Lekhraj Mahtani, in a recent interview with ‘Mast Newspaper’ extended his full support towards the recent decision made by the Zambian President. On the occasion of Africa Day, President Hakainde Hichilema announced that he is planning to abolish the death penalty row. As per Dr. Rajan Mahtani, it was a welcome move considering the law of death penalty is inhumane, cruel and degrading. As such, Dr. Rajan Mahtani praised the announcement made by the Zambian President and said that only a noble person will have the courage to make such decisions. Dr. Rajan Mahtani, while adding his voice to this announcement, stated that there is a significant difference between making the such a bold announcement and making it a reality. This is due to the significant bureaucracy, corruption and long processes within the government to change an archaic yet old and established law. Dr. Rajan Mahtani is a noted businessman and philanthropist in Zambia. He is known for numerous successful businesses and ventures in Zambia including Mahtani Group of Companies, Finsbury Investments and Finance Bank Zambia. Another company which is currently under conflict is Portland Cement Zambia. The case of Portland Cement Zambia was established at the Lusaka High Court after Dr. Rajan Mahtani claimed that the factory was illegally taken over from him. The case proceedings went on for more than a decade during which, numerous evidences and testimonials were provided by the lawyers from Dr. Rajan Mahtani. However, the final decision from the Lusaka High Court judge was extremely conflicting. The judge at the Lusaka High Court was justice Nkonde who gave the final judgement that Ventriglias were only shareholders of the Zambezi Portland Cement.

According to this final judgement, Dr. Rajan Mahtani owned Finsbury Investments is majority shareholder of the Zambezi Portland Cement with 58 percent shares. On the other hand, Ventriglias owned Ital Terrazzo Limited holds just 42 percent shares at the factory and is the minority shareholder without any legal ownership over the factory.

Based on this decision from the Court of Appeal, it is clear that Dr. Rajan Mahtani is the majority shareholder and legal owner of the factory. The judge also gave a timeline of three months from the date of the judgement during which all share sales and regulations related activities must be completed.

On 31st January 2019, the ultimate ownership of Portland Cement Zambia was announced. This announcement came more than a decade after the case was initially registered by Dr. Rajan Mahtani. Justice Mwinde, while sharing this judgement, also said that the judge below him was wrong in declaring Ventriglias as only shareholders as this decision was misdirected and without any evidence.

Based on this shareholding pattern, Dr. Rajan Mahtani automatically becomes the majority shareholder of the Zambezi Portland Cement factory. This decision from the Court of Appeal also aligns with the original shareholders agreement which was established in the year 2007. While giving this decision, the judge from the Court of Appeal also said that the judge below him was wrong in declaring Ventriglias as only shareholders as this decision was biased and misdirected.

All forgery allegations were discarded and three months were given to complete the share regularization process. After the final judgement from the Court of Appeal, publications and reports were released contrasting the judgement from the Court. However, these publications were found to be inconsistent and were later redacted.

Furthermore, the judge also discarded all forgery related allegations by considering them invalid and also gave a timeline of three months for completion of share regularization activities.

Court Of Appeal Gives Back Rightful Ownership Of Portland Cement To Dr. Rajan Mahtani

The case of Portland Cement Zambia is age old. It was registered by Dr. Rajan Mahtani, almost a decade back at the Lusaka High Court. Dr. Rajan Mahtani is known for several big and successful business ventures in Zambia, including but not limited to Mahtani Group of Companies, Finsbury Investments and Finance Bank Zambia. Dr. Rajan Mahtani had claimed that his factory, Zambezi Portland Cement, was illegally and forcefully taken away from him which prompted the case at the Lusaka High Court. To support his claim, Dr. Rajan Mahtani has shared numerous evidences and testimonials in the past ten years of court proceedings. The case was delayed for such as long time majorly because of the inability of the court to provide right judgement on time as well as due to several judges being transferred at frequent intervals. Finally, justice Nkonde announced the ultimate judgement after a wait of ten years. However, this judgement turned out to be more controversial than the never ending court proceedings itself.

With this shareholding pattern, it is clearly established that Dr. Rajan Mahtani is legal owner of the factory. This decision from the Court of Appeal also aligns with the original shareholders agreement which was established in the year 2007.

However, this decision was misdirected and influenced by several external forces which prompted Dr. Mahtani to approach Court of Appeal.

Finsbury Investments made a payment of a sum of K580,000,000 to the Zambian court. This amount was paid on 6th February 2019 with interest to comply with the said decision of the Court. This payment was made for commercial registration. At the same time, Dr. Rajan Mahtani owned Finsbury Investments has also claimed a sum of K1 billion with interest on the Zambezi Portland Cement. This payment and interest has been claimed against the entire share capital issued of the Zambezi Portland Cement. Furthermore, the Court of Appeal also confirmed these share transfers with proper documentation and dates which were during January 2007 and December 2007. Thus, the claims made by Finsbury Investments have been validated and as a result, Finsbury Investments holds 58 percent shares and Ital Terrazzo Limited holds 42 percent shares of the total issues Zambezi Portland Cement share capital.

Winner Of The Zambezi Portland Cement Case At The Court Of Appeal Announced

Justice Mwinde from the Court of Appeal made the final decision on the Portland Cement Zambia case on 31st January 2019. This decision was made almost nine months after Lusaka High Court gave its final judgement on the case. The case, which was registered by Dr. Rajan Mahtani, went on for more than a decade. Justice Nkonde was the judge announcing the final decision and he said that the Ventriglias were only shareholders of the Zambezi Portland Cement. This judgement was extremely controversial which prompted Dr. Rajan Mahtani to approach Court of Appeal for right justice.

During this judgement, Justice Mwinde also revealed some interesting details associated with the case. It was revealed that Finsbury Investments had paid a sum of K580,000,000 with interest to the Court on 6th February 2019. This payment was made for commercial registration of the factory under the clause number 2008-HPC-366. This payment was made to comply with the judgement from the Court. With this, Finsbury Investments also made a claim of K1 Billion with interest against payment made for entire share capital issues of the Zambezi Portland Cement. This share capital was further confirmed by the Court of Appeal with the evidence of share transfers made during December 2006 as well as January 2007. Therefore, Finsbury Investments is soon expected to win this claim too. While some publications and news tried to spread negative and false reviews of this Court of Appeal decision, these publications were found to be inconsistent and soon vanished.
